Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Ecylaa document automation and e-signature platform and related services (the “Service”), operated by ECYLAA LTD (“Ecylaa”, “we”, “us”, or “our”), a company registered in England and Wales under company number 17291052, with its registered office at 50 Princes Street, Ipswich IP1 1RJ, United Kingdom. By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility & accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

2. The Service

Ecylaa provides document generation, electronic signature, and audit tooling. Electronic signatures collected through the Service are intended to meet the requirements of the EU eIDAS regulation and the US ESIGN Act. You remain responsible for determining whether a given document or signature type is appropriate for your use case.

3. Subscriptions, fees & billing

Paid plans are offered on a quote basis tailored to your usage. The fees, billing cycle, and capacity applicable to your subscription are set out in the order form or quote agreed between you and us. Fees are exclusive of taxes, which you are responsible for where applicable.

  • Non-refundable. Except where required by applicable law or as expressly stated in our Refund Policy, fees paid are non-refundable.
  • Price changes. We will give you at least 30 days’ notice before any change to your recurring fees takes effect. Continued use after the change takes effect constitutes acceptance.
  • Free trial. Trials run for 14 days. If you do not enter into a paid plan, your workspace may be suspended and later deleted.

4. Acceptable use

You agree not to use the Service to:

  • violate any law, regulation, or third-party right;
  • send fraudulent documents or impersonate another person or entity;
  • transmit malware or attempt to disrupt or compromise the Service;
  • exceed the capacity or rate limits of your plan in a manner that degrades the Service for others.

5. Customer data & documents

You retain all rights to the documents and data you submit to the Service (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and support the Service. We process personal data in accordance with the UK GDPR, the EU GDPR, and the CCPA, as described in our Privacy Policy.

6. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Ecylaa and its licensors and is protected by intellectual property laws. These Terms grant you no rights to our trademarks or branding.

7. Service levels

Availability commitments for eligible plans are described in our Service Level Agreement.

8. Term & termination

Either party may terminate the Service at any time. You may cancel from your account settings or by contacting us; we may suspend or terminate access for breach of these Terms. On termination, you will have 30 days to export your Customer Data and signed documents, after which we may delete it in the ordinary course.

9. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not provide legal advice, and you are responsible for the legal validity of your documents in your jurisdiction.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability arising out of or relating to the Service will not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Changes to these Terms

We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with them.
